MASTER SERVICE AGREEMENT
(Universal Recruitment & Placement)
This Master Service Agreement ("Agreement") is entered into on this 04 day of April, 2026, by and between:
MEIN2 TRAVELS DRIVER SERVICES
A registered MSME (UDYAM-UP-29-0004400), having its principal place of business at 533, Kamar Singh Market, Hapur Road, Ghaziabad, UP, 201001, represented by its Proprietor, Mr. Shivam Paliwal (hereinafter referred to as the "Consultant");

1 DEFINITIONS & SERVICE COMMENCEMENT
- 1.1 "Service Period" shall mean the fixed duration (e.g., 1, 3, 6, 9, or 12 months) and driver quantity explicitly selected by the Client at the time of online checkout and reflected in the final Invoice.
- 1.2 "Commencement Date" shall be the date on which the Candidate(s) deployed by the Consultant successfully joins the Client’s duty.
- 1.3 "Continuous Cycle" The selected Service Period is a continuous clock. Replacement of a driver during this term does not pause, reset, or extend the original expiry date.
2 ADVANCE PAYMENT & BILLING
- 2.1 Consultancy Fee: The Client agrees to pay a Professional Fee based on the service package, duration, and number of drivers selected on the Consultant's digital platform.
- 2.2 Advance Mobilization Fee: 100% advance payment of the total invoiced amount is mandatory to initiate the "Requisition Process." This fee covers sourcing, background screening, and deployment costs.
- 2.3 Taxation & MSME: All payments are subject to TDS as per Income Tax laws. As a registered MSME, the Consultant is currently exempt from GST collection (below threshold).
- 2.4 Compliance: In accordance with the MSMED Act, 2006, any delayed payments or pending dues not cleared within 45 days shall attract mandatory compound interest at 3 times the RBI Bank Rate.
3 REPLACEMENT & PRO-RATA REFUND POLICY
3.1 Replacement Obligation: If an allocated driver leaves or is dismissed, the Consultant will provide a replacement within 7 Working Days.
3.2 Universal Refund Logic: A refund is only triggered if the Consultant fails to provide a replacement within the stipulated 7 days. Because service durations vary (1 to 12 months), refunds are calculated dynamically:
- Base Deduction: A flat 20% administrative and sourcing fee will be deducted from the total paid amount.
- Pro-Rata Calculation: The remaining 80% of the fee will be refunded on a strict pro-rata basis strictly for the unconsumed days of the agreed Service Period.
- Consumed Service: No refund is applicable for the days the driver was actively on duty.
3.3 Automatic Termination: Upon issuance of a refund, this Agreement for that specific vacancy stands immediately and permanently terminated. No further replacements will be provided.
4 NON-CIRCUMVENTION & PENALTY
- 4.1 Restriction: The Client shall not, directly or indirectly, hire, engage, or contract any candidate introduced by the Consultant for a period of 12 months from the date of introduction.
- 4.2 Backdoor Hiring Penalty: In the event of a breach of Clause 4.1, the Client shall be liable to pay a Placement Penalty of ₹50,000 per candidate as liquidated damages for loss of business and recruitment costs.
5 COMPLIANCE & LIABILITY
- 5.1 Primary Vetting: The Consultant will provide Aadhaar and DL copies (BGV) prior to joining. Police Verification (PV) will be submitted as per government processing times.
- 5.2 Operational Liability: The Consultant acts as a recruiter only. The Driver works under the Client’s direct "Control and Supervision."
- 5.3 Indemnity: The Consultant is not liable for any accidents, theft, third-party damages, or traffic violations. The Client is responsible for vehicle insurance and safety protocols.
